Instrument and consumable manufacturer for pharmaceutical research and QC market seeks paralegal to help with corporate project.
 
Company: Manufacturer of instruments and consumables for pharmaceutical research laboratories and QC laboratories. Operations in MA and UK.
 
Location: Billerica, MA – most work can be done remotely.
 
Job Type: project – approximately 10 to 20 hours. Can complete project over several weeks or all in one week – up to candidate. Hours are flexible and most of work can be done remotely. May be some ongoing work in future if candidate has experience in contract review in addition to corporate governance.
  
Pay Rate: $30 – $35/hr
 
Job Description: Reports to company's general counsel.
 
Responsibilities:
  • Gather, review and organize company's corporate governance documents (e.g., resolutions, minutes, filings, agreements, annual reports, entity formations, acquisitions, etc.).
  • Identify and resolve any issues with respect to missing information, compliance, etc. and work with general counsel to address.
  • Advise on format for the digital corporate records book.
 
Qualifications:
  • Paralegal or attorney with corporate governance experience
  • Experience with contract review (e.g., confidentiality agreements, non-competes, etc.) a plus
  • Able to work independently with strong emphasis on accuracy and detail
  • Strong written and verbal communication skills
