Job Description: This position supports the complex transactional needs of the firm’s technology clients. This is not a “plug the terms into the template” position. Rather, the successful candidate will be responsible for crafting and negotiating contracts that help clients achieve their unique business objectives. This position requires a passion for client success, team collaboration, and keen analytical ability.
Responsibilities and Duties:
- Drafts and negotiates complex services, strategic partnership, software and data licensing, and other agreements that help clients achieve business objectives
- Provides counseling and advice to clients’ business and technical teams regarding deal structures, common approaches to addressing issues, and implications of legal provisions during due diligence or in the event of a dispute
- Effectively communicate and collaborate with clients, opposing counsel and attorneys and team members about pending matters
- Educate and empower firm clients to address complex business legal issues; for example, analyze data and prepare firm clients with information that articulates risks, opportunities, and benefits
- Efficiently use and optimize the firm's systems to perform and track work for firm clients
- Remains current with respect to state and federal laws and technology developments through formal and informal training, educational seminars, and/or briefings
- Attend and participate in networking events that will benefit the firm and client development opportunities
- Participates in team meetings and communicate across practice areas to contribute to a highly collaborative work environment
Qualifications:
- J.D Degree
- Admission to practice law in the Commonwealth of Massachusetts
- Minimum 5-7 years of law firm/in-house experience with at least 4 years in business transactions
- Highest ethical and professional standards; respect for attorney and non-attorney colleagues
- Proven track record of effective listening and drafting clear, concise written communications
- Strong organizational and proof-reading skills
- Proficiency in Microsoft Office applications and comfort using cloud-based software solutions
- Preferred knowledge of inbound and outbound software and technology licensing and all aspects of confidentiality, strategic relationship, and inbound and outbound services agreements
- Preferred experience with privacy and data security compliance, government contracting, or the use of open-source materials in software development
